Terms of Service

Effective Date: March 2, 2026  |  Last Updated: July 8, 2026

Please read these Terms of Service ("Terms") carefully before using the Caderre platform. By accessing or using Caderre, you agree to be bound by these Terms. If you do not agree, do not use the platform.

1. Introduction and Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Caderre Inc., a Delaware corporation ("Caderre," "we," "us," or "our"), governing your access to and use of the Caderre platform, including the website located at caderre.com and all associated services, features, applications, and content (collectively, the "Platform").

By creating an account, accessing, or otherwise using the Platform, you affirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using the Platform on behalf of a company, organization, or other legal entity, you represent that you have the authority to bind such entity to these Terms.

If you do not agree to these Terms in their entirety, you must immediately cease all use of the Platform.

2. Definitions

As used in these Terms, the following definitions apply:

  • "Platform" means the Caderre web application, website, APIs, and all related services provided by Caderre Inc.
  • "Company User" means any individual or entity that registers an account as an employer, recruiter, or hiring organization to use the Platform's recruiting and hiring management features.
  • "Candidate User" means any individual who registers an account as a job seeker to view application statuses, track interview stages, and access interview preparation resources through the Platform.
  • "User" means any individual or entity that accesses or uses the Platform, whether as a Company User, Candidate User, or otherwise.
  • "ATS" means an Applicant Tracking System, a third-party software application used by Company Users to manage job postings and candidate applications.
  • "ATS Integration" means the feature that allows Company Users to connect their existing ATS accounts to the Platform to synchronize job postings, candidate data, and application pipeline information.
  • "Content" means all information, data, text, images, files, or other materials uploaded, submitted, or otherwise made available through the Platform.
  • "Candidate Data" means personal information, application materials, and hiring-process data relating to Candidate Users.
  • "Subscription" means a paid or trial-based plan that grants Company Users access to certain features of the Platform.

3. Eligibility and Account Registration

3.1 Eligibility

To use the Platform, you must be at least 18 years of age and legally capable of entering into a binding contract. By using the Platform, you represent and warrant that you meet these requirements.

3.2 Account Creation

You must create an account to access most features of the Platform. You may register using an email address and password or by signing in with your Google account ("Google OAuth"). You agree to provide accurate, current, and complete information during registration and to update such information as necessary to keep it accurate, current, and complete. When you register using Google OAuth, your identity is authenticated by Google and Caderre receives only your name, email address, and profile photo from Google.

3.3 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. If you registered using Google OAuth, the security of your Google account credentials is governed by Google's terms and policies — Caderre does not store or manage your Google password. You agree to notify Caderre immediately at hello@caderre.com if you become aware of any unauthorized use of your account or any other breach of security. Caderre will not be liable for any loss or damage arising from your failure to comply with this obligation.

3.4 One Account Per User

Each individual may maintain only one account per user type. Creating duplicate accounts or accounts for the purpose of evading suspension or termination is prohibited.

4. Company User Terms

4.1 Company Registration

Company Users must register using a valid corporate or organizational email address and provide accurate information about their company, including legal name, industry, and contact details. Caderre reserves the right to verify company information and reject or suspend any account that appears to be fraudulent or misrepresented.

4.2 Company Profile

Company Users may create and maintain a company profile on the Platform, which may be visible to Candidate Users. You are solely responsible for the accuracy and completeness of your company profile, including job descriptions, compensation ranges, and company information. Caderre does not verify, endorse, or take responsibility for the accuracy of any company profile content.

4.3 Team Members and Multi-User Access

Company Users may invite additional team members to access the Platform under their company account. The Platform supports two team member roles: Super Admin, who has full access to the Platform including billing management, subscription changes, and team administration; and Recruiter, who has access to hiring workflows, candidate management, and job postings but cannot modify billing or account settings. The Super Admin who registered the company account is responsible for all actions taken by invited team members. You may grant or revoke team member access at any time through the Platform settings. You represent that invited team members have agreed to these Terms.

4.4 Job Postings

Company Users are solely responsible for all job postings created on or synchronized to the Platform. Job postings must accurately describe the position, qualifications, compensation, and working conditions. Postings that are fraudulent, discriminatory, or otherwise unlawful are strictly prohibited. Caderre reserves the right to remove any job posting at its sole discretion.

4.5 Candidate Communication

Company Users who send invitations to Candidate Users to join the Platform agree to do so only with the consent of the relevant candidate and only in connection with a genuine employment process. Unsolicited or bulk invitations are prohibited.

4.6 Compliance with Employment Laws

Company Users are solely responsible for compliance with all applicable employment, labor, anti-discrimination, and data protection laws in their jurisdiction, including but not limited to Title VII of the Civil Rights Act, the Americans with Disabilities Act, the Age Discrimination in Employment Act, and any applicable state and local equivalents. Caderre provides the Platform as a tool and does not assume any responsibility for Company Users' hiring decisions or practices.

5. Candidate User Terms

5.1 Candidate Registration

Candidate Users may register for a free account to access the Platform's candidate-facing features. Registration is typically initiated through an invitation from a Company User, though Caderre may offer direct registration at its discretion.

5.2 Application Status Visibility

Candidate Users may use the Platform to view the status of their job applications at companies that have invited them to the Platform. The application status information displayed is provided by the Company User and/or their connected ATS system. Caderre does not independently verify the accuracy of application status information and is not responsible for errors, delays, or omissions in such data.

5.3 Application Status Timing

Company Users may enable a rejection delay feature that delays the visibility of disqualification decisions to Candidate Users for a configurable period of up to 5 days. Caderre provides this feature to allow Company Users time to personally communicate hiring outcomes. Caderre disclaims liability for any decisions made by Candidate Users based on application status information that may not yet reflect the most recent hiring decision. Candidate Users acknowledge that application status displayed on the Platform may not reflect real-time decisions by the Company User.

5.4 Interview Preparation Features

Candidate Users may access interview preparation resources, prep kits, and related materials made available through the Platform. Such resources are provided for informational and preparatory purposes only. Caderre makes no representation or warranty that use of these resources will result in a successful job offer, interview performance, or employment outcome.

5.5 Candidate Profile

Candidate Users may maintain a personal profile on the Platform. You are responsible for the accuracy of all information in your profile. Do not include false, misleading, or defamatory information in your profile.

5.6 No Employment Guarantee

Use of the Platform does not guarantee employment, an interview, or any specific hiring outcome. Hiring decisions are made solely by Company Users and are entirely outside of Caderre's control.

5.7 Chrome Extension

Caderre offers an optional Chrome Extension that allows Candidate Users to track job applications directly from job posting pages. The extension is provided as a convenience feature and is subject to these Terms. By installing and using the extension, you agree to grant the browser permissions necessary for its functionality, including access to page content for job detail detection and local storage for session management.

6. Acceptable Use Policy

6.1 Permitted Use

You may use the Platform solely for its intended purposes: Company Users for managing hiring workflows and candidate communications; Candidate Users for tracking applications and preparing for interviews.

6.2 Prohibited Conduct

You agree not to, and will not permit others to:

  • Use the Platform for any unlawful purpose or in violation of any applicable laws or regulations;
  • Post or transmit any Content that is fraudulent, deceptive, defamatory, obscene, harassing, discriminatory, or otherwise objectionable;
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity;
  • Scrape, crawl, spider, or otherwise extract data from the Platform by automated means without Caderre's prior written consent;
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Platform;
  • Circumvent, disable, or interfere with security-related features of the Platform;
  • Use the Platform to send unsolicited communications or spam;
  • Upload viruses, malicious code, or any software intended to damage, interrupt, or limit the functionality of the Platform;
  • Attempt to gain unauthorized access to any part of the Platform or any systems connected to it;
  • Use candidate information obtained through the Platform for any purpose other than legitimate employment evaluation;
  • Sell, resell, sublicense, or otherwise commercialize access to the Platform except as expressly permitted by these Terms;
  • Interfere with or disrupt the integrity or performance of the Platform or the data contained therein.

6.3 Enforcement

Caderre reserves the right, but is not obligated, to monitor the Platform for violations of this Acceptable Use Policy and to investigate and take appropriate legal and/or technical action against any party that violates this policy, including suspending or terminating your account.

6.4 Chrome Extension Acceptable Use

The Chrome Extension is intended for personal job application tracking only. You may not use the extension for automated data collection, web scraping at scale, commercial data harvesting, or any purpose other than tracking your own job applications. Caderre reserves the right to suspend or revoke extension access for misuse.

7. ATS Integration and Third-Party Services

7.1 ATS Connection Authorization

Company Users may connect third-party Applicant Tracking Systems to the Platform to synchronize job postings, candidate pipeline data, and hiring stage information. By connecting an ATS, you represent and warrant that you are authorized to access and share the data contained therein and that doing so does not violate any third-party agreement or applicable law.

7.2 Data Synchronization

Upon connecting an ATS, the Platform periodically retrieves and synchronizes data from your ATS account, and may also receive real-time updates through webhook notifications from your ATS provider. Synchronized data includes job listings, candidate records, and application stage updates. Caderre does not create, modify, or delete candidate, job, or application data in your connected ATS. To enable synchronization, Caderre may create and remove webhook subscriptions or similar integration configuration within your ATS. The frequency and scope of synchronization depend on the technical capabilities of the integrated ATS and any applicable API terms.

Depending on the provider, an ATS integration connects either directly between Caderre and your ATS, using credentials you provide (which Caderre stores in encrypted form), or through a third-party integration partner whose infrastructure the synced data passes through before it is stored on the Platform. Our integration providers and their data-handling practices are described in our Privacy Policy and Sub-Processors page.

7.3 Data Accuracy

Caderre does not independently verify or guarantee the accuracy, completeness, or timeliness of data imported from third-party ATS systems. Discrepancies between your ATS data and information displayed on the Platform may occur. Company Users are responsible for ensuring that data synchronized to the Platform is accurate and up to date.

7.4 Third-Party ATS Providers

The Platform integrates with third-party ATS providers (such as Workable, Greenhouse, Lever, Ashby, Recruitee, BambooHR, SmartRecruiters, Teamtailor, and others) whose own terms of service and privacy policies govern your use of those services. Caderre is not responsible for the availability, accuracy, content, or practices of any third-party ATS provider. Your relationship with each ATS provider is governed solely by your agreement with that provider.

7.5 Disconnection of ATS

You may disconnect your ATS integration at any time through your Platform settings. Upon disconnection, Caderre will cease active synchronization of ATS data. Previously synchronized data may be retained in accordance with our data retention policies and applicable law.

7.6 Responsibility for ATS-Sourced Candidate Data

Company Users are solely responsible for the lawful collection, processing, and sharing of candidate information imported via ATS Integration. If you share candidate data with the Platform via an ATS, you represent that you have all necessary legal bases (including, where applicable, consent of the candidate) to do so under applicable data protection laws.

7.7 Beta Features

Certain features of the Platform may be designated as "Beta," "Preview," or "Early Access." Such features are provided on an as-is basis and may be modified, suspended, or discontinued at any time without notice. Beta features may contain bugs, errors, or inaccuracies and are not covered by any service level commitments. Your use of beta features is at your own risk, and Caderre makes no warranties regarding their availability, reliability, or performance.

8. Candidate Information and Data Handling

8.1 Data Responsibility

Caderre acts as a data processor with respect to Candidate Data provided by Company Users, and as a data controller with respect to data provided directly by Candidate Users during registration and Platform use. Caderre processes Candidate Data in accordance with its Privacy Policy and applicable data protection laws.

8.2 Company User Obligations Regarding Candidate Data

Company Users who upload, synchronize, or otherwise introduce Candidate Data to the Platform represent and warrant that: (i) they have obtained all necessary consents and authorizations to share such data; (ii) the data is accurate and not misleading; and (iii) sharing the data complies with all applicable laws, including the General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA), and any other applicable privacy regulations.

8.3 Candidate User Rights

Candidate Users may have rights under applicable law to access, correct, delete, or port their personal data. Requests related to personal data may be submitted to hello@caderre.com. Caderre will respond to such requests in accordance with applicable legal obligations and its Privacy Policy.

8.4 Data Retention

Caderre retains Candidate Data for as long as necessary to provide the Platform's services and as required by applicable law. Upon account termination, Caderre will process deletion requests in accordance with its Privacy Policy and applicable legal retention requirements.

8.5 Data Security

Caderre implements commercially reasonable technical and organizational measures to protect Candidate Data against unauthorized access, disclosure, alteration, or destruction. However, no method of transmission over the Internet or electronic storage is completely secure, and Caderre cannot guarantee absolute security.

8.6 Prohibited Use of Candidate Data

Company Users may not use Candidate Data obtained through the Platform for any purpose other than evaluating candidates for employment at their organization. Selling, licensing, or otherwise transferring Candidate Data to third parties is strictly prohibited.

8.7 Company Workspace Records

With respect to records of activity within a company's workspace, including audit logs of actions taken in the company's account and the company's team roster, the Company User is the controller of those records and Caderre maintains them on the company's behalf. These records may be retained as part of the company's account, subject to the retention periods described in the Privacy Policy, and remain attributable to the individuals who took the actions, even after an individual team member deletes their personal account, as described in the Privacy Policy. An individual's deletion of their personal account removes their personal information but does not remove the company's record of actions that person took as part of the workspace.

9. Intellectual Property Rights

9.1 Caderre's Intellectual Property

The Platform and all of its components, including but not limited to software, source code, algorithms, user interface designs, graphics, logos, trademarks, and proprietary methodologies, are owned by or licensed to Caderre Inc. and are protected by United States and international intellectual property laws. Nothing in these Terms grants you any right, title, or interest in Caderre's intellectual property other than the limited license to use the Platform as described herein.

9.2 License to Use the Platform

Subject to your compliance with these Terms and payment of any applicable fees, Caderre grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purposes during the term of your account or subscription.

9.3 User Content License

You retain ownership of the Content you submit to the Platform. By submitting Content, you grant Caderre a worldwide, non-exclusive, royalty-free, sublicensable license to use, store, reproduce, modify, display, and distribute your Content solely to the extent necessary to provide and improve the Platform's services.

9.4 Feedback

If you provide any feedback, suggestions, or ideas regarding the Platform ("Feedback"), you grant Caderre an irrevocable, perpetual, royalty-free license to use such Feedback for any purpose without any obligation to you.

9.5 Restrictions

You may not copy, reproduce, distribute, publish, create derivative works of, publicly display, or otherwise exploit any portion of the Platform's proprietary components without Caderre's prior written consent.

10. Subscriptions, Billing, and Fees

10.1 Subscription Plans

The Platform offers a free Starter plan with limited features, a 14-day free trial of the Professional plan, and paid subscription plans. Certain features of the Platform are available only to Company Users who purchase a paid Subscription. Subscription plans, features, and pricing are described on the Platform's pricing page and are subject to change with notice. Candidate User accounts are provided free of charge.

10.2 Free Trial

Caderre may offer a 14-day free trial period to new Company Users. Free trial eligibility and available features are determined by Caderre at its discretion. At the end of the 14-day trial period, your account will be downgraded or you will be required to purchase a Subscription to continue accessing paid features. No payment information is required to start a trial. Caderre reserves the right to modify or discontinue trial offerings at any time.

10.3 Payment Processing

Subscription payments are processed through Stripe, a third-party payment processor. By providing payment information, you authorize Caderre and Stripe to charge your payment method for the applicable fees. Your use of Stripe's services is subject to Stripe's own terms of service and privacy policy. Caderre does not store your full payment card details.

10.4 Automatic Renewal

Subscriptions renew automatically at the end of each billing period unless cancelled prior to the renewal date. You authorize Caderre to charge your payment method on file for each renewal period. You may cancel your Subscription at any time through the billing settings in your account.

10.5 Refund Policy

All fees paid are non-refundable except where required by applicable law or expressly stated otherwise by Caderre. If you cancel your Subscription, you will continue to have access to paid features through the end of your current billing period, after which your account will be downgraded.

10.6 Price Changes

Caderre reserves the right to modify Subscription pricing at any time. Price increases will be communicated to affected subscribers with at least 30 days' notice before taking effect, allowing you to cancel your Subscription prior to the price change.

10.7 Taxes

All fees are exclusive of applicable taxes. You are responsible for paying all applicable taxes, levies, or duties imposed by taxing authorities in connection with your Subscription.

11. Disclaimers and Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CADERRE EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Specifically, Caderre does not warrant that:

  • The Platform will be uninterrupted, error-free, or free from viruses or other harmful components;
  • The results obtained from use of the Platform will be accurate, reliable, or meet your requirements;
  • Any defects or errors in the Platform will be corrected;
  • The Platform will be compatible with your systems or equipment;
  • Application status information or ATS-synchronized data will be current or accurate;
  • Interview preparation materials will result in any particular employment outcome.

Any content downloaded or otherwise obtained through the use of the Platform is accessed at your own discretion and risk, and you will be solely responsible for any damage to your system or loss of data that results from such download.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CADERRE INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
  • LOSS OF PROFITS, REVENUE, GOODWILL, OR BUSINESS OPPORTUNITIES;
  • LOSS OF DATA OR COST OF DATA RECOVERY;
  • FAILURE TO SECURE EMPLOYMENT OR ANY HIRING OUTCOME;
  • ANY DAMAGES ARISING FROM ERRORS IN ATS-SYNCHRONIZED DATA;
  • ANY DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO YOUR ACCOUNT.

THESE LIMITATIONS APPLY WHETHER OR NOT CADERRE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE).

IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, CADERRE'S LIABILITY WILL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY APPLICABLE LAW.

IN ALL CASES, CADERRE'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO CADERRE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

13. Indemnification

You agree to indemnify, defend, and hold harmless Caderre Inc. and its officers, directors, employees, agents, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

  • Your use of or inability to use the Platform;
  • Your breach of these Terms or any representation, warranty, or obligation contained herein;
  • Your violation of any applicable law, regulation, or third-party right, including any intellectual property or privacy right;
  • Content you submit to the Platform, including any claims that such Content infringes or misappropriates the rights of a third party;
  • Your hiring decisions or employment practices;
  • Your unauthorized use or misuse of Candidate Data;
  • Your use of or connection to any third-party ATS.

Caderre reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with Caderre in asserting any available defenses.

14. Termination

14.1 Termination by You

You may terminate your account at any time by using the account deletion feature in your Platform settings. You may also contact us at hello@caderre.com for assistance. Company Users who cancel a paid Subscription will retain access to paid features through the end of their current billing period.

14.2 Termination by Caderre

Caderre reserves the right, in its sole discretion, to suspend or terminate your account and access to the Platform at any time, with or without notice, for any reason, including but not limited to: violation of these Terms; fraudulent, abusive, or illegal activity; non-payment of fees; or any conduct that Caderre determines is harmful to other users, third parties, or the business interests of Caderre.

14.3 Effect of Termination

Upon termination of your account: (i) your right to access and use the Platform will immediately cease; (ii) if a company account is closed, the company's data, including its jobs, applications, candidate invitations, connected-ATS credentials, and uploaded files, is deleted, and the company's audit-log entries are anonymized; if an individual deletes a personal account, that person's personal information is removed while records of actions they took as part of a company's workspace remain part of that company's account as described in the Privacy Policy; any active subscription is cancelled; (iii) residual copies of data may remain in our provider's encrypted backups for a limited period, currently up to approximately seven days, before being overwritten; (iv) all provisions of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnification obligations, and limitation of liability.

14.4 No Refunds Upon Termination for Cause

If Caderre terminates your account for a violation of these Terms, you will not be entitled to any refund of prepaid fees.

15. Dispute Resolution and Arbitration

15.1 Informal Resolution

Before initiating any formal dispute proceedings, you agree to first contact Caderre at hello@caderre.com and attempt to resolve the dispute informally. The parties will use good faith efforts to resolve the dispute within 30 days of the notice.

15.2 Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform that cannot be resolved informally shall be resolved by binding individual arbitration administered by JAMS (Judicial Arbitration and Mediation Services) pursuant to its then-current Comprehensive Arbitration Rules and Procedures. The arbitration will be conducted in Wilmington, Delaware, unless the parties agree otherwise. The decision of the arbitrator will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

15.3 Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR OTHER REPRESENTATIVE PROCEEDING AGAINST CADERRE. ALL CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION.

15.4 Opt-Out Right

You have the right to opt out of the binding arbitration clause and class action waiver by sending written notice to hello@caderre.com within 30 days of first accepting these Terms. Your opt-out notice must include your name, email address, and a clear statement that you wish to opt out of arbitration. Opting out does not affect any other provision of these Terms.

15.5 Exceptions

Notwithstanding the arbitration requirement, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights or confidential information.

15.6 Time Limitation on Claims

Any claim arising out of or relating to these Terms must be brought within one (1) year after the cause of action accrues. Claims not brought within this period are permanently barred.

16. Governing Law and Jurisdiction

These Terms and any dispute arising out of or related to these Terms or your use of the Platform shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Subject to the arbitration provisions in Section 15, you and Caderre each consent to the exclusive personal jurisdiction and venue of the state and federal courts located in Wilmington, Delaware, for the resolution of any claims or disputes that are not subject to mandatory arbitration.

If you are accessing the Platform from outside the United States, you are responsible for compliance with any applicable local laws. By using the Platform, you irrevocably consent to the application of Delaware law and the jurisdiction of Delaware courts as described herein.

17. Modifications to These Terms

Caderre reserves the right to modify these Terms at any time. When we make material changes, we will notify you by: (i) sending an email to the address associated with your account; (ii) posting a notice prominently on the Platform; or (iii) updating the "Last Updated" date at the top of this page.

Your continued use of the Platform after the effective date of any modifications constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Platform and, if applicable, cancel your Subscription.

We encourage you to review these Terms periodically to stay informed of any updates.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy and any applicable Subscription agreements, constitute the entire agreement between you and Caderre with respect to the Platform and supersede all prior or contemporaneous communications, agreements, or understandings, whether written or oral.

18.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable. If modification is not possible, the provision will be severed, and the remaining provisions will continue in full force and effect.

18.3 Waiver

Caderre's failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision. A waiver of any default will not constitute a waiver of any subsequent default.

18.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without Caderre's prior written consent. Caderre may freely assign its rights and obligations under these Terms, including in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets.

18.5 Force Majeure

Caderre will not be liable for any delay or failure to perform its obligations under these Terms to the extent such delay or failure results from causes beyond Caderre's reasonable control, including acts of God, natural disasters, pandemic, war, civil unrest, government action, or failures of third-party service providers.

18.6 Notices

Notices to Caderre must be sent to hello@caderre.com or by mail to Caderre Inc., a Delaware corporation. Caderre may provide notices to you via email, through the Platform, or by other reasonable means.

18.7 Language

These Terms are written in English. To the extent any translated version of these Terms conflicts with the English version, the English version will control.
